General Terms and Conditions

Article 1 – Definitions

In these General Terms and Conditions, the following terms shall have the meanings assigned to them:

  • "HeatingWalls" : The user of these Terms, operating under HeatingWalls.com, with registered office in the Netherlands, and email address info@heatingwalls.com.
  • "Customer" : Any natural person or legal entity who enters into an agreement with HeatingWalls or places an order via the Website.
  • "Agreement" : The agreement between HeatingWalls and the Customer regarding the purchase of Products.
  • "Product" : Any passive solar heating wall, modular panel, kit, accessory, or service offered by HeatingWalls via the Website.
  • "Website" : HeatingWalls.com and all its subpages.

 

Article 2 – Applicability

  1. These General Terms and Conditions apply to all offers, orders, agreements, and deliveries of Products by HeatingWalls.
  2. By placing an order, the Customer agrees to the applicability of these Terms. Deviations from these Terms are only valid if explicitly agreed in writing by HeatingWalls.
  3. The Customer's own purchase conditions do not apply, even if they are included in any order confirmation or correspondence.

 

Article 3 – Offers

  1. All offers and price quotations on the Website are without obligation and subject to availability.
  2. HeatingWalls reserves the right to change prices, product specifications, and availability at any time without prior notice.
  3. Obvious errors, mistakes, or inaccuracies in the offer (including pricing and product dimensions) do not bind HeatingWalls.
  4. An offer is valid only while stocks last or until the stated expiration date.

 

Article 4 – Formation of the Agreement

  1. An Agreement is formed when the Customer submits an order via the Website and HeatingWalls sends an order confirmation by email.
  2. HeatingWalls reserves the right to refuse any order or to attach special conditions to it, without giving reasons.
  3. If an order cannot be fulfilled, HeatingWalls will inform the Customer as soon as possible and refund any payments already made.

 

Article 5 – Prices and Payment

  1. All prices displayed on the Website are in Euros (€) and include VAT (Value Added Tax) unless otherwise stated.
  2. Shipping and handling costs are not included in the Product price unless explicitly stated. These costs will be shown separately during the checkout process.
  3. Payment must be made via the payment methods offered on the Website at the time of ordering. Orders will only be processed after full payment has been received.
  4. If the Customer fails to pay on time, they shall be in default and HeatingWalls reserves the right to suspend delivery or cancel the order.

 

Article 6 – Delivery

  1. HeatingWalls will make every effort to deliver Products within the estimated delivery time stated on the Website. However, delivery times are estimates only and are not guaranteed.
  2. Delivery is made to the shipping address provided by the Customer. The Customer is responsible for providing correct address details.
  3. Any risk of damage, loss, or theft of the Products transfers to the Customer at the moment of delivery (when the Products are handed over to the carrier).
  4. If delivery is delayed due to circumstances beyond the control of HeatingWalls (force majeure), the Customer will be informed and the delivery time will be extended by a reasonable period.

 

Article 7 – Right of Withdrawal (Cooling-Off Period)

For Consumers (B2C):

  1. The Customer has the right to withdraw from the Agreement within 14 days of receiving the Product, without giving any reason.
  2. To exercise this right, the Customer must notify HeatingWalls in writing via email to info@heatingwalls.com within the 14-day period.
  3. The Customer must return the Product in its original condition and packaging, unused and undamaged, within 14 days of the withdrawal notification.
  4. Return shipping costs are borne by the Customer.
  5. Upon receiving and inspecting the returned Product, HeatingWalls will refund the full purchase price (excluding original shipping costs) within 14 days.

Exclusions: The right of withdrawal does not apply to Products that are customized or made to the Customer's specific specifications.

 

Article 8 – Warranty

  1. HeatingWalls guarantees that the delivered Product is free from material defects and manufacturing faults at the time of delivery.
  2. The warranty period is 1 year from the date of delivery to the Customer.
  3. The warranty covers only defects that are proven to be caused by faulty materials or workmanship by HeatingWalls.
  4. The warranty does not cover:
    • Damage caused by improper installation, use, or maintenance.
    • Damage caused by external factors such as storms, flooding, or other weather extremes.
    • Normal wear and tear.
    • Modifications or repairs carried out by the Customer or a third party without prior written consent.
  5. If a defect is covered by the warranty, HeatingWalls will, at its sole discretion, repair the Product or replace it with a comparable Product.

 

Article 9 – Installation and Use

  1. All Products are supplied as DIY kits or construction concepts. The Customer is solely responsible for safe and correct installation.
  2. HeatingWalls strongly recommends consulting a qualified structural engineer or licensed contractor before installing any Product.
  3. HeatingWalls assumes no liability for:
    • Structural damage to buildings.
    • Personal injury.
    • Failure to comply with local building codes or regulations.
    • Any damage or loss resulting from improper installation or use.

 

Article 10 – Intellectual Property

  1. All intellectual property rights (including copyright, design rights, trademarks, and trade names) in and to the Products, images, drawings, descriptions, and content on the Website are owned exclusively by HeatingWalls.
  2. The Customer is not permitted to copy, reproduce, distribute, or commercially exploit any part of the Products or Website content without the prior written consent of HeatingWalls.

 

Article 11 – Liability

  1. To the fullest extent permitted by law, HeatingWalls is not liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of use.
  2. HeatingWalls' total liability for direct damages related to a single Agreement shall not exceed the purchase price paid by the Customer for the Product in question.
  3. The limitations of liability in this Article do not apply in cases of intent or gross negligence on the part of HeatingWalls, nor in cases where liability is mandatory by law (such as for death or personal injury).

 

Article 12 – Force Majeure

  1. HeatingWalls is not obliged to fulfil any obligation under the Agreement if prevented from doing so by force majeure, including but not limited to:
    • War, civil unrest, or terrorism.
    • Natural disasters (flooding, earthquake, fire).
    • Government restrictions or trade embargoes.
    • Supplier delays or logistical disruptions.
    • Strikes or labor disputes.
  2. In the event of force majeure, HeatingWalls will notify the Customer and either extend the delivery time or cancel the Agreement with a full refund of any payments made.

 

Article 13 – Privacy and Data Protection

  1. HeatingWalls processes personal data in accordance with its Privacy Policy, which can be found on the Website.
  2. By placing an order, the Customer agrees to the processing of their personal data as described in the Privacy Policy.

 

Article 14 – Complaints

  1. If the Customer has any complaints about the Product or the performance of the Agreement, they must notify HeatingWalls in writing by email to info@heatingwalls.com as soon as possible, but no later than 14 days after discovering the defect.
  2. HeatingWalls will acknowledge receipt of the complaint within 7 days and will respond with a solution within a reasonable timeframe.
  3. If the complaint cannot be resolved, the Customer may submit the dispute to the competent court in the Netherlands, subject to the governing law clause below.

 

Article 15 – Governing Law and Jurisdiction

  1. These General Terms and Conditions and all Agreements between HeatingWalls and the Customer are governed exclusively by the laws of the Netherlands.
  2. Any disputes arising out of or in connection with these Terms or any Agreement shall be submitted to the exclusive jurisdiction of the competent courts in the Netherlands.
  3. If the Customer is a consumer (B2C) and resides outside the Netherlands, mandatory consumer protection laws in their country of residence may still apply, but Dutch law will govern the interpretation of these Terms to the extent permitted.

 

Article 16 – Severability

If any provision of these General Terms and Conditions is found to be invalid, void, or unenforceable under applicable law, that provision shall be deemed amended to the minimum extent necessary to make it valid, and the remaining provisions shall remain in full force and effect.

 

Article 17 – Amendments

HeatingWalls reserves the right to amend these General Terms and Conditions at any time. The latest version will always be published on the Website. Changes will not affect existing Agreements unless required by law.
